Dataovertakelse

Dataovertakelse is a term used in Danish and Norwegian to describe the takeover of data assets as part of a corporate transaction or data governance initiative. It denotes the transfer and control of data assets from one party to another, typically in the context of mergers and acquisitions, but also in reorganizations or outsourcing arrangements that consolidate data holdings.

In practice, dataovertakelse covers identifying and valuing data assets such as customer records, product databases, analytics datasets, metadata, and data infrastructure; determining ownership and licenses; and aligning data governance practices with relevant laws and standards.

Legal and regulatory considerations include data ownership, consent, data transfer rights, and compliance with privacy regulations (for example, GDPR). Data subject rights, cross-border transfers, security measures, and incident response are central concerns during a data takeover.

Practical steps include data due diligence, data inventories and maps, negotiating data transfer agreements, planning migration, and establishing post-transaction data stewardship and governance. Valuation of data assets is often part of the overall transaction assessment.
