AssignmentNovation is a contractual mechanism that blends elements of assignment and novation to transfer both rights and obligations to a new party, typically resulting in the substitution of the party performing the contract. In a true assignment, only rights flow to a new recipient while the original obligor remains liable. In a novation, a new contract is created that replaces the old one and the original party is released from liability. AssignmentNovation seeks to achieve a complete substitution by transferring benefits and burdens and extinguishing the prior contract.

The concept is distinguished from simple assignment and from novation.
