Sopimussuhde is the juridical relationship that arises when two or more parties have entered into a contract. It creates enforceable rights and obligations for the parties, derived from the contract terms and the applicable law. The concept is used in Finnish contract law to describe the binding connection between contracting parties regardless of the contract’s subject matter.

A sopimussuhde forms when there is a valid agreement; usually this requires an offer and an acceptance and the parties’ capacity to contract and free consent. Contracts may be explicit in writing or arise from conduct that shows mutual intent to be bound (implied contracts). The legal relationship can also include terms implied by law or by customary practice.

The content of a sopimussuhde consists of the rights and obligations stated in the contract, supplemented by mandatory provisions of law and general good practices. Typical features include payment obligations, delivery or performance duties, quality or timing requirements, confidentiality, and rules on liability for non-performance or breach. If the contract does not address a point, the applicable law or customary practice fills the gap.

Breach and remedies: When one party fails to perform as agreed, the other party may seek remedies such as damages or termination of the contract. The parties may also have avenues for cure, mitigation of damages, or renegotiation of terms, depending on the contract and law.

Termination and modification: A sopimussuhde ends upon fulfilment or expiry of the contract, or earlier by mutual agreement, breach, or other lawful grounds. The contract may be modified by the parties, sometimes requiring formal steps.

Special forms: There are specialized contractual relationships, such as työsopimussuhde (employment relationship), which are governed by specific statutes in addition to general contract law. The sopimussuhde remains a central concept in Finnish civil law.
