Sopimuskieltävä, meaning "contract-prohibiting" or "agreement-denying" in Finnish, is a legal concept that refers to the act of preventing or invalidating a contract. This can occur in several ways, either through a party's refusal to enter into a contract, or through legal mechanisms that render a contract void or unenforceable.

A refusal to contract can be a fundamental aspect of freedom of contract. Individuals and entities are generally free to choose whether or not to enter into agreements, provided they do not discriminate unlawfully. This freedom allows parties to decline business relationships for any reason, or no reason at all, as long as it does not violate anti-discrimination laws or other specific legal obligations.

Conversely, a contract can become sopimuskieltävä through legal invalidation. This can happen if the contract is formed under duress, fraud, misrepresentation, or if it involves illegal activities or is against public policy. In such cases, a court may declare the contract void ab initio (void from the beginning) or voidable, meaning one of the parties has the right to cancel it. Incapacity of a party, such as being a minor or lacking mental competence, can also render a contract unenforceable. The concept thus encompasses both voluntary refusal and involuntary invalidation of contractual agreements.
