Primærmarked, or the primary market, is the segment of the capital market where new securities are issued and sold to investors for the first time. In this market, issuers such as companies or governments raise capital by issuing shares, bonds, or other securities. The proceeds from these issuances generally go to the issuer, enabling funding for growth, debt refinancing, or other corporate or public purposes.

Common forms include initial public offerings (IPOs), follow-on offerings, private placements, and debt issues. Offerings may be public or private, and underwriters or investment banks may guarantee the issue or assist with distribution. In book-building transactions, underwriters measure investor demand to determine the offer price, while fixed-price offerings set the price in advance.

Before issuance, a prospectus or offering document is prepared and filed with the relevant regulator for approval, providing information about the issuer, the terms, and the risks. After pricing and allocation, securities are issued to investors and settled through securities clearing systems. The primærmarked is distinct from the secondary market, where existing securities are traded among investors, providing liquidity and price discovery through ongoing trading.

Regulatory frameworks govern disclosure, conduct, and eligibility to protect investors. The primærmarked plays a crucial role in capital formation, enabling issuers to access new funds, support strategic initiatives, and diversify funding sources, while offering investors new investment opportunities and, in some cases, ownership rights.
