kommandiittibos

A kommandiittibos, often translated as a limited partnership, is a business structure in Finnish company law. It combines elements of both a general partnership and a limited liability company. A kommandiittibos consists of at least two partners: one or more general partners (vastuunalainen yhtiömies) and at least one limited partner (komplementtiyhtiömies).

The general partner(s) are personally liable for the debts and obligations of the partnership without limitation. Their personal assets can be used to satisfy the partnership's liabilities. In contrast, the limited partner(s) are only liable to the extent of their capital contribution to the partnership. They do not participate in the day-to-day management of the business.

The profits and losses of a kommandiittibos are typically shared among the partners according to their partnership agreement. This business form can be advantageous for attracting investment capital from limited partners who want to limit their financial risk while still benefiting from the business's success. The formation and operation of a kommandiittibos are governed by the Finnish Partnership Act.
