Forhåndsavtalen, in Norwegian usage, refers to a preliminary agreement between two or more parties that sets the framework for a later definitive contract. It records the parties’ intentions to enter into a more detailed agreement and often aims to define core terms to guide negotiations. A forhåndsavtale may cover the scope and purpose of the planned transaction, price or consideration, timelines, responsibilities, and the exchange of information.

The binding nature of a forhåndsavtale varies. Many provisions are non-binding, with binding effect limited to confidentiality, exclusivity, or formal obligations to negotiate in good faith. Some agreements explicitly state that the main terms are non-binding, while others may impose a duty to proceed toward a final agreement if certain conditions are met. The document should specify which clauses are legally enforceable and which are merely statements of intent.

Enforceability can be influenced by the language used, the specificity of terms, and the jurisdiction. Vague or sweeping provisions risk creating unintended obligations or disputes about whether the final contract should be negotiated or whether damages are due for breach of a standstill or exclusivity clause.

Forhåndsavtaler are used across contexts such as mergers and acquisitions, joint ventures, real estate transactions, large procurement, and key employment or supplier arrangements. They are typically followed by a definitive contract (hovedavtale) once due diligence is completed and conditions precedent are satisfied.
