Võimalusmakset

Võimalusmakset, which translates to "opportunity payment" or "contingent payment" in English, is a term used in financial and legal contexts. It refers to a payment that is contingent upon the occurrence of a specific future event or the achievement of a particular outcome. Unlike a guaranteed payment, a võimalusmakset is not certain to be made. Its fulfillment depends on whether the predetermined condition is met.

This type of payment is often incorporated into contracts, particularly in areas such as mergers and acquisitions, real estate transactions, or performance-based compensation. For example, in a business acquisition, a portion of the purchase price might be structured as a võimalusmakset, payable only if the acquired company meets certain revenue or profit targets within a specified period after the sale. Similarly, in employment contracts, a bonus might be designated as a võimalusmakset, dependent on the employee exceeding individual or company performance goals.

The purpose of a võimalusmakset is to align the interests of the parties involved and to mitigate risk. For the payer, it reduces the upfront financial commitment if the desired outcome is not achieved. For the recipient, it offers the potential for additional financial gain if they are successful in meeting the stipulated conditions.
