Selvitysyhtiöihin, or winding-up companies in English, are entities established for the sole purpose of liquidating or dissolving another company. These companies are typically appointed when a business ceases to operate, either voluntarily or due to insolvency. Their primary role is to manage the orderly wind-down of the business's affairs, ensuring that its assets are realized and distributed according to legal and contractual obligations.

The process involves several key steps. A selvitysyhtiö will take control of the company's assets, which may include property, equipment, intellectual property, and financial investments. These assets are then valued and sold, often through auctions or private sales, to generate funds. Simultaneously, the selvitysyhtiö is responsible for identifying and settling all outstanding debts and liabilities of the company, including payments to creditors, employees, and tax authorities.

Creditors are notified of the winding-up process and are invited to submit claims. The selvitysyhtiö evaluates these claims and, if valid, distributes the proceeds from asset sales proportionally. If a company is insolvent, the distribution follows a legally defined order of priority. Once all assets have been liquidated and all debts settled, or if there are no remaining assets to distribute, the selvitysyhtiö will finalize the dissolution of the company, typically involving filing necessary documents with the relevant authorities to formally remove the company from the register.
