Koncernernas

Koncernernas, in Swedish business language, refers to corporate groups formed by a parent company and one or more subsidiaries under common control. The term denotes the collective entity—the parent and its subsidiaries—rather than any single legal unit.

Structure and control: A koncern typically includes a parent company and its subsidiaries, with the parent holding a controlling interest. Control is usually achieved through majority voting rights, but it can also arise from other arrangements such as board representation or contractual agreements. The parent coordinates strategy, financing, and governance, while subsidiaries manage day-to-day operations under group-wide policies.

Financial reporting: Koncernerna prepare consolidated financial statements that present the group as a single economic entity. These statements aggregate the subsidiaries’ results, assets, and liabilities and eliminate intercompany transactions and balances. Consolidation follows applicable standards, such as IFRS or national GAAP, depending on jurisdiction and listing status.

Governance and regulation: Group governance typically involves a group board or the parent’s board setting policy, risk management, and internal controls for the entire koncern.
