Kommandiittiyhtiöön

Kommandiittiyhtiö, often abbreviated as Ky, is a Finnish business legal form that translates to "limited partnership" in English. It is a type of partnership where there are at least two partners, with distinct roles and liabilities.

There are two types of partners in a kommandiittiyhtiö: general partners (vastuunalaiset yhtiömiehet) and limited partners (komplettiyhtiömiehet). The general partners are fully liable for the company's debts and obligations with their personal assets. They are also responsible for the management and operation of the business.

Limited partners, on the other hand, have liability limited to the amount of capital they have contributed to the company. They do not typically participate in the day-to-day management of the business. Their role is primarily that of an investor.

A kommandiittiyhtiö must have at least one general partner and at least one limited partner. The formation of a kommandiittiyhtiö requires a partnership agreement, which outlines the terms of the partnership, including profit and loss sharing, management responsibilities, and capital contributions. Registration with the Finnish Patent and Registration Office is mandatory.

This legal form is suitable for businesses where some partners wish to invest capital without taking on full personal liability, while others are willing to manage the business and accept unlimited liability. The tax treatment of a kommandiittiyhtiö in Finland is similar to that of a general partnership (avoin yhtiö), meaning profits are typically taxed at the partner level rather than at the company level.
