Füüsilisõiguslike

Füüsilisõiguslike is an Estonian term that translates to "legal persons" or "juridical persons" in English. It refers to entities that are recognized by law as having rights and obligations separate from their members or owners. These entities are capable of entering into contracts, owning property, suing and being sued, and generally participating in legal and economic activities as if they were individuals.

The primary distinction in law is between natural persons (füüsilised isikud), which are individual human beings, and legal persons. Legal persons are creations of law, established to facilitate various forms of organization and enterprise. They can include a wide range of entities such as companies, corporations, foundations, associations, and government agencies.

The establishment and operation of legal persons are governed by specific laws, often referred to as company law or corporate law. These laws typically outline the procedures for registration, governance structures, liability of members, and dissolution. For example, a limited liability company (OÜ) or a public limited company (AS) in Estonia are common forms of legal persons. The concept of a legal person is crucial for understanding business law, contract law, and the broader legal framework of a society, enabling collective action and investment while often limiting the personal liability of individuals involved.
