It follows execution and operation phases and focuses on orderly cessation, asset disposition, data handling, and knowledge transfer to preserve organizational value and minimize disruption.

The phase applies to projects, programs, product lines, or operational activities that are ending. Its objectives are to minimize risks and disruptions, fulfill regulatory and contractual obligations, reduce ongoing costs, and capture lessons learned and organizational knowledge for future endeavors. It also aims to ensure orderly transitions for stakeholders, customers, and employees affected by the closure.

Key activities include: developing a wind-down plan and governance structure; inventory and classification of assets, licenses, and data; arranging termination or transition of services and supplier contracts; data migration, archival, retention, or secure deletion in accordance with policy; human resources management such as redeployment or severance; financial closure including final invoicing and budget reconciliation; clear communications to stakeholders; and documenting lessons learned for future reference. Risk management, compliance checks, and audit trails are active throughout.

Governance and planning involve defined milestones, exit criteria, and decision gates to proceed with each step. Documentation, knowledge capture, and post-closure reviews help preserve organizational learning. Common challenges include maintaining essential services during wind-down, meeting legal and data-retention requirements, managing supplier relationships, and mitigating cultural or morale impacts on staff.
