The clause is usually inserted in the articles of association or in a shareholder agreement and is designed to prevent a single shareholder from using its majority or a block of voting rights to alter the company's governance in a way that would harm other stakeholders.

The primary function of a kontrollkäslusi is to balance the power dynamics within a company by setting binding limits on decisions such as changes to the board composition, approval of mergers and acquisitions, or amendments to the company’s strategic plan. It can also require the approval of other shareholders or an independent committee before executive-level changes take place. In practice, the clause is often triggered by specific thresholds – for example, when a shareholder acquires 30 % of total voting rights – and then imposes veto rights or mandatory consultation mechanisms.
