The depositum typically separates ownership from possession: the depositor retains ownership, while the depositary takes possession and assumes a fiduciary duty to safeguard the asset.

The main parties are the depositor and the depositary, which may be a bank, custodian, notary, or other entrusted institution. The deposited item can be tangible goods, documents, or, in the case of financial arrangements, money held in a safekeeping or bank account, depending on jurisdiction. The contract establishes the scope of safekeeping, the time frame, and any fees or charges.

Rights and duties are central to depositumsrelationer. The depositary must take reasonable care of the item, refrain from using it for personal purposes unless explicitly allowed, and keep it clearly accounted for or segregated from other property. The depositor must deliver the item and disclose any defects that affect safekeeping; the parties may agree on fees and access terms.
