Záróeljárást

Záróeljárást, often translated as winding-up procedure or liquidation, refers to the legal process of bringing a company's existence to an end. This typically occurs when a company is insolvent, meaning it is unable to pay its debts. The primary goal of a záróeljárást is to distribute the company's remaining assets to its creditors in a fair and orderly manner, according to their legal priority.

The process is usually initiated by a court order or a resolution passed by the company's shareholders. A liquidator, who is an impartial third party, is appointed to manage the liquidation. The liquidator's duties include taking control of the company's assets, selling them, and using the proceeds to pay off debts. If there are any assets remaining after all creditors have been paid, they are distributed to the shareholders.

There are different types of winding-up procedures, depending on the circumstances. Compulsory liquidation is initiated by a court, usually due to insolvency or other legal reasons. Voluntary liquidation can be initiated by the company's members or creditors. Members' voluntary liquidation occurs when a company is solvent but wishes to cease trading. Creditors' voluntary liquidation is initiated by the company's creditors when it is insolvent. The záróeljárást concludes when the liquidator has completed their tasks and the company is officially dissolved.
