yrityslainsäädäntö, the Finnish term for corporate law, governs the formation, operation, and dissolution of business entities in Finland. It encompasses a broad range of legal principles that regulate how companies are incorporated, how they are governed, and how they interact with shareholders, creditors, and the public.

Historically, Finnish corporate law evolved from Swedish and German models, with substantial reforms following Finland’s independence in 1917. The modern framework was largely solidified by the Companies Act (Osakeyhtiölaki) enacted in 2009, which replaced earlier legislation from 1965 and 1976. The Act has since been updated to accommodate changing business realities and European Union directives.

Key areas of corporate law include company registration, the rights and duties of directors and shareholders, capital maintenance rules, the liability of directors for corporate offenses, and procedures for mergers, acquisitions, and corporate restructurings. Insolvency law, separate but related, sets out the rules for handling financially distressed companies and protecting creditors’ interests.

Finnish corporate law is overseen by the Ministry of Economic Affairs and Employment, with the Finnish Companies Registration Centre (Kaupparekisteri) handling official filings. The national legislation aligns with EU regulations, such as the European Companies Directive, ensuring consistency with broader European market rules.

Current trends in yrityslainsäädäntö include increased emphasis on corporate social responsibility, digital transformation of corporate governance, and ongoing simplification of capital markets to improve investor confidence and entrepreneurial activity.
