Uksikettevõtjad

Uksikettevõtjad refers to a type of sole proprietorship or individual business operator in Estonia. This business structure is chosen by individuals who wish to conduct business activities on their own, without forming a separate legal entity like a limited company. The uksikettevõtja is personally responsible for all debts and obligations arising from their business activities. This means their personal assets are not protected from business liabilities.

Establishing an uksikettevõtja is generally a straightforward process, typically involving registration in the Estonian commercial register. The owner is responsible for managing all aspects of the business, including finances, operations, and legal compliance. Taxation for an uksikettevõtja usually involves income tax on the profits generated by the business. Depending on the nature and scale of the business, Value Added Tax (VAT) registration may also be required.

This business form is often favored by freelancers, consultants, and small-scale entrepreneurs due to its simplicity and lower administrative burden compared to more complex company structures. However, the unlimited liability is a significant factor to consider. The uksikettevõtja operates under their own name or a registered trade name. They have the flexibility to make business decisions independently and keep all profits. The dissolution of an uksikettevõtja is also a relatively simple process, involving de-registration from the commercial register.
