Yhtiökokous is a Finnish term referring to a shareholders' meeting in a company. It is the highest decision-making body of a company, where shareholders exercise their voting rights and make key decisions regarding the company's affairs. There are typically two types of yhtiökokous: the ordinary yhtiökokous (varsinainen yhtiökokous) and the extraordinary yhtiökokous (ylimääräinen yhtiökokous).

The ordinary yhtiökokous is held annually, usually within six months of the end of the company's financial year. Its primary responsibilities include approving the financial statements, deciding on the distribution of profits (dividends), and appointing the members of the board of directors and the auditor. It also addresses other matters presented by the board or shareholders.

An extraordinary yhtiökokous can be convened when urgent matters arise that cannot wait for the next ordinary meeting. These might include significant corporate restructuring, mergers, acquisitions, or amendments to the company's articles of association. The board of directors is obligated to convene an extraordinary yhtiökokous if it deems it necessary or if requested by shareholders representing a certain percentage of the company's shares, as stipulated by law or the company's articles.

Attendance at a yhtiökokous is typically open to all shareholders, though specific requirements for participation, such as advance notification and proof of share ownership, may apply. Decisions are made based on the voting rights attached to the shares. The yhtiökokous plays a crucial role in corporate governance, ensuring accountability and transparency between the company's management and its owners.
