méregtételek
Mérégtételek is a Hungarian term that translates to "poisoning clauses" or "poison pills" in English. These are typically found in corporate law and are designed to make a company less attractive to a hostile takeover. They can take various forms, such as giving existing shareholders the right to buy additional shares at a discounted price if a certain percentage of the company is acquired by an unwanted entity. This dilutes the ownership stake of the acquiring party and increases the cost of the takeover. Another common type is a "dead hand" poison pill, which remains in effect even if the board of directors that adopted it is replaced. The primary purpose of a méregtétel is to give the target company's board of directors more time and leverage to negotiate a better deal for shareholders or to explore alternative strategies to fend off the takeover bid. They are a defensive mechanism employed to protect the company from unsolicited acquisition attempts.
