Investointiyhtiöt are Finnish investment companies whose primary purpose is to acquire shares in other companies or participate in financing activities for the benefit of their shareholders. The term derives from the Finnish words “investointi” (investment) and “yhtiö” (company). Finnish law distinguishes investointiyhtiöt from ordinary holding companies by their tax treatment and specific regulatory requirements. They can be structured as limited liability companies (Osakeyhtiö, Oy), joint-stock companies (Osuuskunta), or as community-owned entities (Kuntayhtiö).

The legal framework for investointiyhtiöt is established by the Finnish Companies Act and the Income Tax Act. One of the key features is that gains and capital distributions are taxed at the company level, potentially avoiding double taxation if the company qualifies for the participation exemption (otteiden vapautus). This exemption applies when the investointiyhtiö holds at least 5 % of the capital and has held the shares for a minimum of one year, allowing it to qualify for reduced tax treatment.

Typical activities include equity investments in private or public enterprises, real estate ventures, and participation in venture-capital funds. Many investment companies operate as family offices, managing private wealth, or as institutional investors backing mid‑size companies. Critics argue that the regulatory loopholes can foster tax avoidance, whereas supporters highlight the role of investointiyhtiöt in providing stable capital for Finnish businesses.

Prominent Finnish investointiyhtiöt include the Foundation of Finnish Investment Companies, the Sampo Group’s investment arm, and the regional investment companies run by municipalities.
