Rättighetsutgivning

Rättighetsutgivning is a Swedish term that translates to "rights issuance" or "rights offering" in English. It refers to a process where a company, typically a publicly traded one, offers its existing shareholders the right to purchase new shares in the company. These new shares are usually offered at a discount to the current market price, providing an incentive for shareholders to subscribe.

The primary purpose of a rights issuance is for a company to raise capital. This capital can be used for various reasons, such as funding expansion projects, reducing debt, making acquisitions, or strengthening the company's financial position. By offering the rights to existing shareholders, the company aims to dilute the ownership of any new investors as little as possible, as current shareholders have the first opportunity to maintain their proportional ownership.

Shareholders who receive rights have a few options. They can exercise their rights and purchase the new shares, thereby increasing their stake in the company. They can sell their rights on the open market if they do not wish to purchase more shares. Or, they can let their rights expire, in which case they lose the opportunity to buy the discounted shares and their ownership percentage will likely decrease if other shareholders exercise their rights. The subscription period for a rights issuance is limited, and shareholders must act within this timeframe.
